Terms of Service

These Terms of Service ("Terms") govern your use of MicroStreams, operated by MicroStreams LLC ("MicroStreams," "we," "us," or "our"), a California limited liability company. By accessing microstreams.co or submitting an item, you agree to these Terms. If you do not agree, do not use the service.

1. Eligibility

You must be at least 18 years old and a resident of the United States to use MicroStreams. By using the service, you represent and warrant that you meet these requirements. MicroStreams is not available to residents outside the United States.

2. How MicroStreams Works

MicroStreams acquires physical items from individuals in exchange for guaranteed monthly payments. The general process is:

1. You submit an item for review (no obligation).
2. We evaluate the item and may send you a written offer by email.
3. If you accept the offer, you ship the item to us at your cost.
4. We inspect and activate the item, then begin monthly payments on the schedule described in Section 6.

3. Item Submission

Submitting an item is free and does not obligate you to anything. We may accept or decline any submission at our discretion, without explanation. By submitting an item, you represent and warrant that:

• You are the sole legal owner of the item, free of any liens, loans, or third-party claims.
• All descriptions, photos, and information you provide accurately represent the item's condition.
• You have the legal right to sell and transfer the item.

Misrepresenting an item may result in an offer modification or cancellation after inspection, and may result in account termination.

4. Offers

If we decide to make an offer, you will receive an email with the proposed monthly payment amount. Offers expire 30 days after being sent unless otherwise stated. You are under no obligation to accept.

Accepting an offer is a binding commitment to ship the item to us. By accepting, you agree that ownership of the item will permanently transfer to MicroStreams upon receipt, and you agree to be bound by all terms in this agreement.

5. Permanent Transfer of Ownership

This is a permanent, irrevocable transfer. Once you accept an offer and ship your item:

• Full legal ownership of the item transfers to MicroStreams upon receipt and acceptance.
• You waive all rights, title, and interest in the item.
• The item will not be returned to you under any circumstances — including if payments are paused, modified, or discontinued after the guarantee period.
• You are responsible for shipping costs and for adequately packaging the item to prevent damage in transit.

If an item arrives materially different from its described condition (e.g., undisclosed damage), MicroStreams reserves the right to modify or withdraw the offer before activation. In such cases, we will contact you and attempt to reach a fair resolution.

6. Payment Terms

Monthly payments begin on the 1st of the month following our inspection and activation of your item. If the activation date falls within 14 calendar days of the upcoming 1st, payments begin the 1st of the month after that.

For example: activated January 18 → first payment February 1. Activated January 20 → first payment March 1.

Payment amounts are fixed as agreed at offer acceptance. Payments are made via your chosen method: Venmo, PayPal, or ACH bank transfer. It is your responsibility to keep your payment information current in your account settings.

If a payment fails due to incorrect or outdated payment information you have provided, we will attempt to contact you to resolve the issue. Payments that cannot be delivered will be held and reissued once valid payment information is on file. Undeliverable payments do not count toward your guaranteed total.

7. Payment Guarantee

Each accepted item carries a guarantee of 60 completed monthly payments. A "completed" payment is one that is successfully processed and delivered to you. Payments that fail, are paused, or are otherwise not received do not count toward the 60.

After all 60 guaranteed payments have been completed, MicroStreams may continue payments indefinitely at its discretion. Payments beyond the 60-payment guarantee period are not guaranteed and may be reduced or discontinued by MicroStreams with 30 days' advance written notice.

MicroStreams intends to continue making payments beyond the guarantee period for as long as the business can sustain doing so. The 60-payment guarantee is a minimum floor, not a ceiling.

8. Activity & Continuation Policy

To maintain payment continuation beyond the guarantee period, you must remain an active MicroStreams member. Activity is defined as having at least one item accepted by MicroStreams within any 60-month rolling period.

Submitting a new item at any time resets the activity clock for all of your active items.

If you have been inactive for 59 months and your items have each received 60 or more completed payments, we will send you an advance notice. If no new item is accepted within 60 months of your most recent accepted submission, MicroStreams may discontinue payments for items that have fulfilled their guarantee.

9. Tax Compliance

If your total payments from MicroStreams reach $600 or more in a calendar year, we are required by US law to issue you a 1099-NEC tax form and report those payments to the IRS.

When your projected annual payments approach this threshold, we will ask you to complete a W-9 form (providing your legal name, mailing address, and tax ID — either an SSN or EIN). If you do not complete the W-9 before your annual payments reach $600, we will pause payments until the form is submitted. Paused payments do not count toward your guarantee total; they will resume and the guarantee total will continue once the W-9 is on file.

You are responsible for reporting all income received from MicroStreams on your tax return and for paying any applicable taxes. MicroStreams does not provide tax advice. Consult a tax professional with questions about your tax obligations.

10. Account Termination

MicroStreams may suspend or terminate your account if you provide false or misleading information about submitted items, violate these Terms, or engage in fraudulent activity.

Termination of your account does not affect your right to receive any remaining guaranteed payments on items that were accepted and activated prior to termination. Those payments will continue to the payment method on file.

11. Prohibited Uses

You agree not to:

• Submit items you do not own or that are subject to liens, financing, or third-party claims.
• Misrepresent the condition, authenticity, or identity of any item.
• Attempt to reverse-engineer, scrape, or disrupt the MicroStreams platform.
• Create multiple accounts to circumvent submission limits or other policies.
• Use the service for any unlawful purpose.

12. Disclaimer of Warranties

The MicroStreams service is provided "as is" and "as available." We make no warranties, express or implied, regarding the service's availability, reliability, accuracy, or fitness for a particular purpose. We do not guarantee that the service will be uninterrupted or error-free.

13. Limitation of Liability

To the maximum extent permitted by applicable law, MicroStreams LLC and its owners, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service or any transaction. Our total liability for any claim arising from these Terms is limited to the total amount of payments made to you in the three months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless MicroStreams LLC and its owners and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misrepresentation of any submitted item, or your violation of any applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. If the changes are material, we will notify you by email. Your continued use of MicroStreams after changes take effect constitutes your acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California.
